Committees

Board Committees are formed to efficiently advance the business of the Board and to facilitate efficient decision making of the Board. Board Committees are a mechanism to assist the Board and its Directors in discharging their duties through a more comprehensive evaluation of specific issues, followed by well-considered recommendations to the Board.

Audit & Risk Committee

The Audit and Risk Committee of Gamma Civic Ltd and at Group companies, is the forum whereby specific responsibilities as well as matters referred to the Committee by the Board, is examined and then recommendations are made to the Board for making any decision. The Audit and Risk Committee has no executive powers and only has an advisory role to the Board.

Any recommendations made by the Committee and if subsequently adopted by the Board do not divest the Board of Directors of their statutory responsibilities.

Corporate Governance Committee

The core function of the Corporate Governance Committee is to assist the Board of Directors for:

  1. All corporate governance provisions to be adopted so that the Board remains effective and complies with prevailing corporate governance principles applicable to the Company;
  2. Remuneration and Nomination policies and any HR programs to support the retention and development of senior executives and employees; and
  3. Determination of the composition of the Board and its Committee, and monitoring the Board’s effectiveness.

The Corporate Governance Committee is the forum whereby specific responsibilities as well as matters referred to it by the Board, is thoroughly examined and then recommendations made to the Board which remains responsible for making any decision.
